SetForth Refund & Billing Policy

This Refund & Billing Policy (the "Billing Policy") describes how billing, subscriptions, prepaid Credits, usage, and refunds work for the SetForth platform and services (the "Service") provided by SetForth, LLC ("SetForth," "we," "us"). It is incorporated into and part of the Terms of Service; capitalized terms not defined here have the meaning given there. If there is a conflict between this Billing Policy and an Order you signed with us, the Order controls.

Summary of the most important points (the full terms below control): paid plans renew automatically; usage of Agents consumes prepaid Credits; Credits and fees are non-refundable except as expressly stated or required by law; Credits are consumed by usage, not by results — unsuccessful, incomplete, or unsatisfactory Agent runs still consume Credits; your balance can go negative, in which case you owe us that amount; and we may change prices, plans, and pricing models on a going-forward basis with notice.

1. Plans and features

The Service is offered through a free plan and one or more paid plans. The features, limits, seat and concurrency allowances, prices, and Credit terms for each plan are described at our pricing page (setforth.app/pricing) and/or in your Order, which are incorporated into this Billing Policy. Plans differ in, among other things, the number of projects, the number of seats, the number of concurrent managed agent sessions, and whether usage is metered and billed through SetForth. We may offer, modify, or discontinue plans as described in Section 12.

2. Subscriptions, billing cycle, and payment

2.1 Auto-renewal. Paid subscriptions are billed in advance on a recurring basis (for example, monthly or annually) and renew automatically for successive periods of the same length until cancelled in accordance with Section 11. By subscribing, you authorize SetForth and our payment processor to charge your payment method for the recurring fees and any applicable taxes and usage charges each period, until you cancel.

2.2 Payment method and processor. You must provide a valid payment method and keep your billing information accurate and current. Payments are processed by our third-party payment processor; your use of that processor is subject to its terms, and card details are handled by the processor, not stored by SetForth. You authorize charges for all amounts due, including subscription fees, seat and concurrency charges, Credit purchases, and any negative balance.

2.3 Currency. All fees are stated and charged in U.S. dollars unless otherwise specified, and you are responsible for any currency-conversion or bank fees.

2.4 Failed or reversed payments. If a charge fails, is reversed, or is disputed, we may retry the charge, suspend or restrict the Service, and pursue collection as described in Sections 9 and 10.

3. Seats

3.1 Billable seats. Paid plans are charged per seat based on the number of billable Authorized Users in your organization, as measured by SetForth.

3.2 Adding seats. When you add seats during a period, the additional seats are charged, and we may prorate the charge for the remainder of the then-current period.

3.3 Removing seats. When you remove seats, the reduction takes effect at the start of your next renewal period. We do not provide refunds or credits for seats removed mid-period, and you remain charged for them through the end of the then-current period.

4. Concurrency and other quantity-based charges

Certain capabilities — such as the number of concurrent managed agent sessions ("concurrency") — are priced as a quantity you select. Changes to these quantities are billed in the same manner as seats (additions prorated; reductions effective at the next renewal, without mid-period refund), unless stated otherwise at checkout or in your Order.

5. Prepaid Credits

5.1 What Credits are. Usage of metered features (including AI model usage and compute) is paid for using prepaid Credits. Credits are a limited license to access and use the Service, are denominated for convenience in a monetary unit, and are not money, deposits, stored value, gift cards, or financial instruments. Credits have no cash value, are non-refundable and non-transferable, and may not be redeemed or exchanged for cash except where required by law.

5.2 Purchasing Credits. You may purchase Credits through the Service. A minimum purchase amount may apply (currently $10). Purchased Credits are added to your organization's balance.

5.3 Consumption — usage, not results. Credits are consumed based on actual usage of the Service — including model input/output tokens, related model charges, and compute — and not based on whether an Agent finishes a task or produces Output that is correct, complete, functional, or satisfactory to you. Usage that does not result in a completed implementation, that produces erroneous or unusable Output, that is interrupted or fails, or that results from runaway, repeated, looping, or unintended Agent activity, still consumes Credits and is non-refundable. You are responsible for configuring, scoping, supervising, and setting any available limits on Agent activity to control your usage.

5.4 Expiration and dormancy. Credits do not currently expire. We reserve the right to introduce an expiration period for Credits purchased after we give notice of the change. If your paid subscription lapses, is cancelled, or is downgraded, your Credits are retained but become dormant and unusable until you are again on a qualifying paid plan; dormant Credits are not refunded.

5.5 Forfeiture on termination for breach. If we terminate your account or the Service for breach of the Agreement (including the Acceptable Use Policy), any remaining Credits are forfeited and are not refunded.

6. Metering and authoritative records

Usage is measured by SetForth's metering and accounting systems, including our usage gateway and credit ledger. You agree that SetForth's metering and ledger records, together with our payment processor's records, are the authoritative and final record of usage, Credits, balances, charges, and payments, absent manifest error. We may rely on these records for all billing purposes.

7. Negative balances and overage (amounts you owe)

7.1 Negative balances. Because usage is measured as it occurs, your balance may become negative — for example, where usage during a session exceeds the Credits available. A negative balance is an amount you owe SetForth (a debt), not a forfeiture by SetForth, and it reflects costs we have incurred to provide the Service to you.

7.2 Collection and netting. You agree to pay any negative balance. We may (a) net a negative balance against your future Credit purchases or other amounts, (b) charge your payment method for it, and/or (c) pursue collection. We may suspend or restrict the Service while a negative balance is outstanding.

7.3 Controls. We may, but are not obligated to, apply spending controls, per-session limits, or stop activity when your balance is exhausted. Those controls are a convenience and do not limit your responsibility for usage actually incurred (Section 5.3).

8. Taxes

All fees are exclusive of taxes. You are responsible for all sales, use, value-added, goods-and-services, withholding, and similar taxes and duties (excluding taxes on SetForth's net income). If we are required to collect taxes, they will be added to your charges. If you are required by law to withhold any taxes from amounts owed to us, you will gross up the payment so that we receive the full amount we would have received without the withholding.

9. Late payment, failed payments, and dunning

9.1 Past due. If a payment is overdue or fails, your account may enter a past-due state. During this period we may, to the extent supported: stop running and prevent new managed agent sessions, block the creation of new work and other chargeable activity, and limit the Service to read-only access, while we attempt to collect payment.

9.2 Continued non-payment. If payment is not resolved after our collection attempts and any grace period, your subscription may be moved to an unpaid state and downgraded to the free plan, with the effects described in Section 10.

9.3 Interest and costs. To the extent permitted by law, overdue amounts may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is less, and you are responsible for reasonable costs of collection.

10. Cancellation, downgrade, and their effects

10.1 Cancellation. You may cancel a paid subscription at any time through the Service or as described in your Order. Unless otherwise required by law or stated in your Order, cancellation takes effect at the end of the then-current paid period; you retain paid features until then, and you are not refunded for the remainder of the period (see Section 11).

10.2 Downgrade to free. When a paid subscription ends (by cancellation, lapse, or non-payment) and the account moves to the free plan, the free plan's limits apply. Because the free plan supports fewer seats and projects, a downgrade may require selecting which user and which project remain active, and the others may be deactivated (users) or frozen (projects and their initiatives, epics, and tasks). Freezing is intended to be reversible: frozen items generally remain readable but cannot be used to create or run new work until restored on re-subscription. Managed agent sessions may be stopped, and pending invitations may be revoked. We are not liable for the effects of a downgrade carried out in accordance with this Section.

10.3 Credits on downgrade. Credits become dormant as described in Section 5.4; they are not refunded.

10.4 Data after cancellation or termination. Handling of your data after cancellation or termination is governed by the Terms (Section 13) and the Privacy Policy. You are responsible for exporting or retaining your data before your subscription ends.

10.5 Discontinuation of the Service by SetForth. SetForth may discontinue the Service, or any plan or feature, in whole or in part at any time, including in connection with ceasing operations, and may terminate the Agreement for convenience as described in the Terms (Sections 11.3 and 13.3). Where practicable, we will provide reasonable advance notice. If we discontinue the paid Service for our convenience (and not because of your breach), then, as your sole and exclusive remedy: (a) we will refund the unused portion of prepaid subscription fees allocable to the terminated portion of the then-current period (Section 11.3); and (b) for unused Credits you purchased, we will provide a reasonable period to use them before the discontinuation takes effect and/or, at our discretion or to the extent required by law, refund the unused portion of purchased Credits (excluding any free, promotional, or bonus Credits and any usage already incurred). Except for the foregoing and any liability that cannot be excluded under applicable law, and subject to the limitations in the Terms, SetForth has no further liability for discontinuing the Service or ceasing operations.

11. Refunds

11.1 General rule — non-refundable. Except as expressly stated in this Billing Policy or as required by applicable law, all fees, charges, and Credit purchases are non-refundable, and there are no refunds or credits for partial periods, unused subscription time, unused or dormant Credits, seats or concurrency removed mid-period, or usage already incurred.

11.2 No refund in particular for. Without limiting Section 11.1, we do not provide refunds for: Credits consumed by usage, including unsuccessful, incomplete, interrupted, erroneous, or unsatisfactory Agent runs (Section 5.3); suspension or termination resulting from your breach or under the Acceptable Use Policy; unavailability, downtime, interruptions, maintenance, or discontinuation of the Service or any feature; or dissatisfaction with Output.

11.3 Limited exception. If we terminate your paid subscription for our convenience without cause, or you terminate for our uncured material breach as permitted by the Terms, your sole monetary remedy is a refund of the prepaid subscription fees allocable to the terminated portion of the then-current period that you have not used. This exception does not apply to Credits or to usage already incurred.

11.4 Statutory rights. Nothing in this Billing Policy limits any non-waivable refund or cancellation right you may have under applicable law.

12. Changes to plans, prices, and Credit terms

12.1 Right to change. We may change our prices, fees, plans, plan features and limits, pricing models and structures (including how usage is metered and how Credits are consumed), and the availability of plans and features, at any time. We may introduce new charges, modify or remove existing ones, and introduce, modify, deprecate, or discontinue plans or features.

12.2 How changes apply. For recurring subscriptions, changes to recurring fees take effect at the start of your next renewal period (or later, as we specify), and we will provide reasonable advance notice (for example, by email, in-product notice, or by posting an updated pricing page). For Credits, price and consumption-rate changes apply prospectively — to Credits purchased and usage occurring after the change takes effect; they do not change the monetary balance of Credits you already purchased, but the rate at which Credits are consumed for future usage may change. Changes required for legal, security, tax, or provider-cost reasons may take effect on shorter notice.

12.3 Your choice. If you do not agree to a change, your remedy is to cancel your subscription before the change takes effect in accordance with Section 10. Continued use of the Service after a change takes effect constitutes acceptance.

13. Chargebacks and billing disputes

13.1 Disputes. If you believe you have been billed in error, contact billing@setforth.app within 60 days of the charge. You must pay all undisputed amounts when due. We will investigate good-faith disputes in reasonable cooperation with you.

13.2 Chargebacks. Initiating a chargeback or payment reversal without first attempting to resolve the issue with us is a breach of the Agreement. We may dispute improper chargebacks, suspend or terminate the account, and recover the disputed amount and associated fees, in addition to any negative balance.

14. Free plan and trials

The free plan and any trial or promotional offer are provided "as is," may have reduced features and limits, and may be changed, limited, or withdrawn at any time. No fees are charged for the free plan, and no refunds arise from it. Trial or promotional Credits may have additional restrictions (including shorter expiry) stated at the time of the offer.
